How long does a conveyancing transaction take in Malaysia?

A straightforward subsale transaction in Malaysia usually takes about three months from the date the Sale and Purchase Agreement is signed, provided that all documents are in order and the property is not subject to unusual restrictions.

The timeline may be longer if the property is still charged to a bank, if redemption of the existing loan is required, if the purchaser is taking a new loan, or if consent from the developer, state authority, land office or other approving body is required. For leasehold property, strata property, foreign purchaser cases, or transactions involving missing documents or title issues, completion may take four to six months or more, depending on the circumstances.

How much are conveyancing legal fees?

Conveyancing legal fees in Peninsular Malaysia are regulated under the Solicitors’ Remuneration Order 2023. For a standard sale and purchase transaction, the scale fee is calculated based on the purchase price or market value of the property, whichever is applicable.

As a general guide, the legal fee is calculated at 1.25% on the first RM500,000, subject to the applicable minimum fee, and the rate continues on a prescribed scale for higher property values. Disbursements, stamp duty, search fees, registration fees and SST are separate from the legal fee.

Perfection of transfer and perfection of charge usually arise when a purchaser bought a property from a developer before the individual title or strata title was issued.

Perfection of transfer is the process of registering the property title into the purchaser’s name once the individual or strata title has been issued.

Perfection of charge applies where the purchaser bought the property with bank financing. It is the process of registering the bank’s charge over the title after the title is issued.

Although it is common for strata titles to be issued years after vacant possession, purchasers should not ignore the process. Delay in completing perfection may affect future sale, refinancing, discharge of charge, estate administration or dealings with the property.

Can I transfer property to my spouse or child without stamp duty?

Certain family transfers may qualify for stamp duty exemption or remission, depending on the relationship between the parties and the applicable exemption order at the time of transfer.

Transfers between spouses commonly qualify for stamp duty exemption on the instrument of transfer, subject to the relevant conditions. Transfers between parents and children, or grandparents and grandchildren, may also enjoy relief, but the exact stamp duty treatment depends on the current law, property value, relationship and supporting documents.

Family transfers should not be treated as a simple “name change”. The transfer may still require land office registration, bank consent if the property is charged, RPGT filing, state consent in some cases, and proper legal documentation.

Yes, foreigners may purchase property in Penang, but the purchase is subject to state authority rules, minimum purchase price requirements, property category restrictions and consent requirements.

The minimum threshold may differ depending on whether the property is located on Penang Island or the Mainland, and whether the property is landed or stratified. Certain properties, such as Malay Reserved Land, low-cost housing and other restricted categories, are generally not available for foreign purchase.

Foreign purchasers should also take note that stamp duty, state consent requirements and approval timelines may differ from local purchaser transactions. Before paying a deposit or signing any agreement, foreign purchasers should confirm their eligibility and the applicable state requirements for the specific property.

How long does loan settlement take?

Loan settlement and discharge of charge usually take several weeks, depending on the bank’s processing time and whether the original title and security documents are available.

In a sale transaction, the purchaser’s bank or purchaser’s solicitor will usually request a redemption statement from the vendor’s bank. Once the redemption sum is paid, the vendor’s bank will release the original title and discharge documents so that the transfer and new charge can proceed.

Delay may occur if the bank takes time to issue the redemption statement, if the title is not readily available, if the property is still under master title, or if the transaction involves both redemption and new financing. Proper coordination between the solicitors, banks and parties is important to avoid unnecessary delay.
